1. About this Privacy Policy

Greenwood Leather is an Australian business based in Melbourne, Victoria and is operated by Melbourne Leather Goods Pty Ltd as trustee of Nawaz Family Trust, trading as Greenwood Leather ("Greenwood Leather", "Greenwood", "we", "us" or "our").

Our handling of personal information is governed primarily by the Privacy Act 1988 (Cth) and the Australian Privacy Principles (APPs).

Where another mandatory privacy or data-protection law applies to a particular individual, transaction or activity, we will comply with that law to the extent required.

If information required to assess a wholesale application, create an account or process an order is not provided, we may be unable to provide the relevant service.

5. Stockist applications and B2B accounts

Information submitted through our Become a Stockist application is used to assess and administer wholesale-account applications.

Submitting an application does not guarantee approval.

If your application is approved, we may use the information provided to create and administer your Shopify B2B company account, company location, authorised contacts, catalogue, pricing and account settings.

Where appropriate, authorised users within the same business may be able to access information associated with that company's B2B account.

We may retain stockist applications and account records where reasonably necessary for:

  • account administration;
  • legitimate business record-keeping;
  • fraud prevention;
  • dispute resolution;
  • accounting or taxation purposes; and
  • compliance with legal obligations.

6. Shopify and other service providers

Greenwood Leather uses Shopify, including Shopify Plus and Shopify B2B functionality, to operate our online wholesale platform.

Personal information submitted through our website may therefore be processed by Shopify and service providers supporting Shopify's ecommerce platform, hosting, customer accounts, authentication, security, communications, payments and related services.

We may also disclose relevant personal information to service providers including:

  • payment processors and financial institutions;
  • freight, courier, warehousing and fulfilment providers;
  • IT, hosting and security providers;
  • email and communications providers;
  • analytics providers;
  • accounting and business-software providers;
  • professional advisers such as accountants and lawyers;
  • insurers;
  • debt-recovery providers where reasonably necessary; and
  • regulators, courts, law-enforcement agencies or government authorities where required or authorised by law.

We only disclose information where reasonably necessary for the relevant purpose or where otherwise permitted or required by law.

Greenwood Leather does not sell or rent wholesale customer contact lists as a standalone commercial product.

7. Payments and payment terms

Payments may be processed through Shopify, Shopify Payments or another payment provider made available through our checkout.

Payment providers may collect and process information necessary to authorise, process and reconcile payments.

Where payment details are processed directly by a payment provider, Greenwood Leather does not generally need to receive or store complete payment-card details itself.

We may retain information concerning:

  • orders;
  • invoices;
  • transaction records;
  • payment status;
  • approved payment terms;
  • outstanding balances; and
  • payment history,

where reasonably necessary for account administration, accounting, taxation, fraud prevention, debt recovery, dispute resolution or other legitimate business or legal purposes.

8. Direct marketing

Where permitted by law, we may send you information about Greenwood Leather products, new releases, wholesale catalogues, trade events, stock updates, promotions and other wholesale news.

Marketing preferences are managed separately from acceptance of our Wholesale Terms & Conditions.

Where consent is required, we will obtain or rely on consent in accordance with applicable law.

You can unsubscribe from electronic marketing at any time by using the unsubscribe facility included in the communication or by contacting us.

Unsubscribing from marketing does not prevent us from sending necessary communications concerning:

  • your B2B account;
  • orders;
  • invoices or payments;
  • deliveries;
  • product or warranty claims;
  • security matters; or
  • other service-related issues.

Australian commercial electronic messaging requirements include consent, appropriate sender identification and a functional unsubscribe facility.

9. Overseas processing and disclosure

Some of the technology and service providers used by Greenwood Leather operate outside Australia.

As a result, personal information may be disclosed to or processed by overseas recipients where reasonably necessary to provide our ecommerce, payment, communications, technology or other business services.

Depending on the services used, overseas recipients may be located in countries including Canada, the United States, Ireland, Singapore and other countries in which Shopify or our approved service providers operate.

Shopify's current service infrastructure includes affiliated entities and subprocessors in a number of overseas jurisdictions.

Where APP 8 applies to an overseas disclosure, Greenwood Leather will take reasonable steps as required by Australian privacy law in relation to that disclosure.

Under APP 8, an Australian APP entity may also remain accountable in certain circumstances for how an overseas recipient handles personal information.

The countries and service providers involved may change from time to time as our systems and providers change.

10. Cookies and analytics

Our website may use cookies and similar technologies for purposes including:

  • customer login and authentication;
  • account security;
  • shopping-cart functionality;
  • checkout;
  • remembering website preferences;
  • website analytics;
  • measuring site performance; and
  • improving the customer experience.

Marketing or advertising technologies may also be used where enabled and permitted by law.

The specific technologies used may change as Shopify, our website theme and approved applications or services are updated.

You can generally manage cookies through your browser settings or any privacy controls made available on our website.

Disabling essential cookies may prevent some functionality, including login, cart or checkout functions, from working correctly.

11. Security

Greenwood Leather takes reasonable technical, administrative and organisational measures to protect personal information from:

  • misuse;
  • interference;
  • loss;
  • unauthorised access;
  • unauthorised modification; and
  • unauthorised disclosure.

These measures may include secure ecommerce systems, authentication controls, access restrictions and appropriate service-provider arrangements.

No internet transmission, electronic storage system or information-security system can be guaranteed to be completely secure.

Customers are responsible for protecting access to their email accounts and B2B customer accounts and should contact us promptly if they believe their account or login credentials have been compromised.

12. Retention of personal information

We retain personal information only for as long as reasonably necessary for the purposes for which it was collected or as otherwise required or permitted by law.

Relevant retention periods may take into account:

  • ongoing B2B account administration;
  • orders and invoices;
  • warranties and product claims;
  • accounting and taxation requirements;
  • payment and credit administration;
  • fraud prevention;
  • legal claims and disputes; and
  • statutory record-keeping requirements.

Where personal information is no longer required and applicable law requires its destruction or de-identification, we will take reasonable steps to do so.

13. Access to personal information

You may request access to personal information Greenwood Leather holds about you by contacting our Privacy Officer using the details below.

We may require reasonable evidence of your identity or authority before providing access.

We will respond within a reasonable period and in accordance with applicable law.

In certain circumstances, the Privacy Act permits us to refuse or limit access. Where required by law, we will provide reasons for that decision and information about available complaint mechanisms.

14. Correction of personal information

If you believe personal information we hold about you is inaccurate, out of date, incomplete, irrelevant or misleading, you may ask us to correct it.

We will take reasonable steps to ensure that personal information we use is accurate, up to date, complete and relevant for the purposes for which it is held.

Requests should be sent to our Privacy Officer using the contact details below.

15. Requests to delete information

You may contact us to request deletion or de-identification of personal information.

We will consider such requests in accordance with applicable law.

We may need to retain certain information where reasonably necessary for purposes including:

  • taxation and accounting;
  • orders and invoices;
  • warranty administration;
  • contractual obligations;
  • fraud prevention;
  • payment or debt administration;
  • dispute resolution; or
  • legal and regulatory requirements.

A request for deletion therefore does not necessarily mean that all records can immediately be removed.

16. Privacy complaints

If you believe Greenwood Leather has not handled your personal information appropriately, please contact our Privacy Officer.

Please provide sufficient information for us to understand and investigate your concern.

We will:

  1. review your complaint;
  2. investigate the matter where necessary; and
  3. respond within a reasonable period.

If you are not satisfied with our response, you may be entitled to make a complaint to the Office of the Australian Information Commissioner (OAIC).

The OAIC expects an APP privacy policy to explain both how an individual can make a privacy complaint and how the organisation will deal with that complaint.

Depending on your location and the circumstances, you may also have rights under other mandatory privacy laws that apply to you.

17. Data breaches

Greenwood Leather maintains processes for responding to suspected or actual data breaches.

Where the Australian Notifiable Data Breaches (NDB) scheme applies and an eligible data breach occurs, we will notify affected individuals and the OAIC where required by law.

The NDB scheme applies to entities subject to the relevant Privacy Act obligations and requires notification where the statutory criteria for an eligible data breach are satisfied.

18. External websites

Our website may contain links to websites or services operated by third parties.

Greenwood Leather does not control the privacy practices of independent third-party websites.

We encourage you to review the privacy policies of third-party websites before providing personal information directly to them.

19. Business use of the B2B website

Our wholesale website and B2B customer accounts are intended for businesses and individuals authorised to act on behalf of those businesses.

They are not directed at children.

If we reasonably believe that a person is not authorised to establish or use a wholesale account, we may take appropriate steps to verify, restrict or close that account.

20. Changes to this Privacy Policy

We may update this Privacy Policy from time to time to reflect changes to:

  • our business;
  • information-handling practices;
  • website or technology;
  • service providers; or
  • applicable legal requirements.

The current version will be published on our website together with its effective or last-updated date.
